Service Agreement for The SpeakEasy Society

1. Introduction

This Service Agreement ("Agreement") is made by and between Profit Up LLC ("Company"), and the undersigned ("Member"). By joining The SpeakEasy Society, Member agrees to be bound by the terms of this Agreement.

2. Services Provided

The Company will provide Member with access to monthly meetings, Ask Me Anything (AMA) sessions with Wendy Babcock, and 3-5 curated speaking leads per month as part of The SpeakEasy Society membership.

3. Payment and Refund Policy

Member agrees to pay the applicable fees for membership in The SpeakEasy Society. All payments are final, and the Company does not offer refunds for any payments made, regardless of usage or satisfaction.

4. Cancellation Policy

Members may cancel their membership at any time by contacting Wendy Babcock at [email protected]. Cancellation will be effective at the end of the current billing period, and no further charges will be incurred after cancellation.

5. No Guarantee Policy

The Company provides curated speaking leads as a service to Members but does not guarantee that these leads will result in paid speaking engagements or that Members will be hired or booked to speak. The success of these leads depends on various factors, including but not limited to, the Member's qualifications, presentation, and the client's needs and decisions.

6. Compliance with Laws

The Member agrees to comply with all applicable laws, rules, and regulations in their use of the services provided by the Company.

7. Limitation of Liability

The Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the services; (ii) any conduct or content of any third party on the services; (iii) any content obtained from the services; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not the Company has been informed of the possibility of such damage.

8. Amendment and Termination

The Company reserves the right to modify the terms of this Agreement at any time. Continued membership after such modifications constitutes acceptance of these changes. The Company may terminate this Agreement and membership in The SpeakEasy Society at any time, without notice, for any reason.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state where Profit Up LLC is registered, without regard to its conflict of law provisions.

By joining The SpeakEasy Society, Member acknowledges that they have read, understood, and agreed to be bound by the terms of this Service Agreement.
